Zoku One-Time Referral Terms and Conditions
By submitting a one-time referral to Zoku ("Referral"), you agree to comply with and be bound by the following terms and conditions ("Terms"). Please read these Terms carefully before submitting a Referral.

Eligibility
- Open to individuals and businesses who wish to refer Retail, Wholesale Distribution, or Food & Beverage operators to Zoku.

Referral Submission
- Submit referral details using Zoku's referral form on the website.
- Referrals must be new to Zoku and not currently engaged with our sales or support teams.
- If the lead already exists in Zoku's database, it may still qualify for referral compensation if the referrer can significantly influence the lead's decision to subscribe to Zoku's services.

Deal Registration Process
- Upon receiving your referral, Zoku will review the details to ensure they meet our criteria for registration.
- Zoku will confirm whether the lead is eligible for referral compensation by checking if it is not already registered or actively engaged in our sales process.
- You will be notified of the registration outcome. If the lead is approved, it will be registered as your referral for tracking and follow-up.
- Once approved, the referrer is encouraged to facilitate an introduction between Zoku and the referred company to enhance engagement.

Qualified Referrals
- A referral is considered "qualified" if the referred business expresses genuine interest in utilizing Zoku's SuiteApps and meets all qualifying criteria.
- The referred business must sign a contract with Zoku within 180 days of the referral submission and meet Zoku's creditworthiness and compliance standards.

Referral Compensation
- Zoku will provide a referral fee for each qualified referral that meets the conditions outlined in these Terms.
- The referral fee will be based on the first 12 months of the subscription to Zoku software signed the first time.
- The standard referral fee is 10%. For deals submitted until the end of 2024, a special referral fee of 20% will apply.
- Compensation will be issued within one week after the referred business's subscription is confirmed.
- Referrers are responsible for any taxes or fees related to the compensation received.

Status Updates
- Zoku will provide referrers with regular updates on the status of their referrals throughout the evaluation and sales process, ensuring transparency and ongoing communication.

Exclusivity and Lead Disputes
- Only one referrer is eligible for compensation per referral. In the case of multiple submissions for the same referral, Zoku will attribute the referral to the first submission received.
- Zoku reserves the right to make the final decision in the event of any dispute over a referral.

Restrictions
- Self-referrals and referrals from entities within the same corporate group as the referrer are not eligible.

Non-Binding Referrals
- Zoku is not obligated to enter into a contract with the referred entity. However, Zoku is committed to fairly assessing all referrals and will engage with referred entities as appropriate.

Liability

- Zoku is not responsible for any errors, delays, or malfunctions in the referral process or any unauthorized access to referral submissions.
- Governing Law and Jurisdiction

- These Terms are governed by and construed in accordance with the laws of Singapore. Any disputes arising from the Referral shall be resolved in the courts of Singapore.
